TERMS OF SERVICE

This Terms of Service (“Terms”) is an agreement between you (“Member,” “you”) and Young Bull Investors Inc. (“YBI,” “we,” “us”). By creating an account, subscribing, or using our web application at app.youngbullinvestors.com, you agree to these Terms and our Privacy Policy.

Acceptance and eligibility

You must be at least 18 years old and able to form a binding contract. If you do not agree to these Terms or our Privacy Policy, do not use the platform. One account per person; sharing credentials or creating multiple accounts may result in suspension.

What the platform is

YBI provides a members-only online community for trading education: channels and direct messages, educational resources and learning paths, quizzes, optional paper trading simulation, a personal trade journal, referrals, and related tools. Access may require an active paid subscription processed through Stripe. Optional one-on-one mentorship sessions are booked separately through Stripe and are not included in the base community subscription unless expressly stated at checkout.

Platform access and feature availability

YBI is provided as a web application and may be installable as a progressive web app depending on your device and browser. We do not guarantee that every feature will be available on every device, browser, operating system, or region.

Some features, channels, communities, resources, or tools may require an active subscription, completion of onboarding steps, completion of learning-path content, passing quizzes, maintaining account standing, or belonging to a specific trader/community. We may add, remove, limit, lock, unlock, modify, suspend, or discontinue features at any time.

Access to the platform is also subject to authentication, subscription status, Terms acceptance, role permissions, trader/community access, and account status. If your account is suspended, muted, expired, unpaid, or otherwise restricted, some or all platform features may be unavailable.

Not a registrant; no financial advice

YBI is not registered as an investment dealer, adviser, portfolio manager, or commodity trading adviser in Canada, the United States, or any other jurisdiction. We do not provide personalized financial, investment, tax, or legal advice. Content (including lessons, discussions, alerts, and opinions) is general and educational only. Nothing on the platform is a recommendation to buy, sell, or hold any security or to adopt any particular strategy. You are solely responsible for your own research and decisions. Consult qualified professionals before trading or investing.

No brokerage; no custody of funds

YBI does not operate a brokerage, hold member funds, execute trades on your behalf, or connect to your brokerage accounts. Any trading you do in the real market occurs through third-party brokers you choose independently. Subscription fees paid to YBI are for access to educational community services only.

Trading risks

Trading securities and derivatives involves substantial risk of loss. You may lose more than your initial investment where leverage or margin applies. Past performance of any strategy, member, or educator does not guarantee future results. YBI makes no guarantees of profit, income, or trading success.

Paper trading simulation

Paper trading is a simulated environment using virtual balances and market data. It does not involve real money, real execution, or real market impact. Simulated results may differ materially from live trading. Paper trading is for practice and education only and must not be relied on for live order decisions.

The paper trading simulator may use a default virtual balance, such as $100,000, and may allow you to add additional simulated funds (up to $1,000,000 in total additional virtual cash per portfolio, as shown in the app). Virtual balances, simulated fills, rankings, and performance results have no cash value.

Market data

Quotes and charts may be supplied by third-party data providers (including data derived from Yahoo Finance or similar sources). Data may be delayed, incomplete, or inaccurate. YBI does not warrant the timeliness or accuracy of any market data. Do not use platform quotes as your sole basis for placing live trades.

Trade journal

The trade journal stores information you enter (and optional imports from paper trading). You are responsible for accuracy. The journal is not tax reporting, performance auditing, or investment advice. We may use aggregated, de-identified data to improve the service.

Subscription and billing

Access to the platform may require an active paid subscription. Subscriptions are processed through Stripe and are billed on a recurring basis at the price, billing interval, and terms shown at checkout. Taxes may apply. By subscribing, you authorize Stripe to charge your selected payment method until you cancel.

Some subscriptions may be tied to a specific trader, community, section, or membership area. Access to one subscription area does not guarantee access to every community, trader, feature, channel, mentorship service, or future product unless expressly stated at checkout or in the app.

If a payment fails, is reversed, is disputed, or your subscription becomes inactive, paused, expired, canceled, or otherwise invalid, we may suspend, limit, or remove your access to some or all parts of the platform. Access timing may depend on Stripe's billing status, your current billing period, and our subscription records.

Cancellation

You may cancel your subscription from your Profile settings in the web app where cancellation is available. Cancellation stops future renewal charges, but you will typically retain access until the end of the current paid billing period unless otherwise stated at checkout or required by law.

Canceling, replacing, or disputing your card with your bank or card issuer does not necessarily cancel your YBI subscription. You are responsible for canceling through the platform or contacting us at info@youngbullinvestors.com if you need help.

Refunds and billing disputes

Subscription fees are refundable in accordance with our Refund Policy. In summary, you may request a full refund of a charge within 3 days of that charge; after that window the charge is non-refundable except where required by applicable law or as stated in the Refund Policy. We may offer additional refunds or account credits at our sole discretion, but we are not required to do so unless required by law.

If you believe you were charged in error, contact info@youngbullinvestors.com promptly with the email address used for your account and a description of the issue. Chargebacks, payment disputes, fraudulent payment activity, or abuse of the billing system may result in suspension or termination of your account.

Referral program

If we offer a referral program, the available rewards, eligibility requirements, status, limits, and redemption rules will be shown in the app or related referral materials. Referral rewards are not guaranteed until approved by YBI. We may deny, reverse, withhold, or cancel referral rewards for self-referrals, duplicate accounts, fake accounts, payment failure, refunds, chargebacks, suspicious activity, abuse, or violation of these Terms. We may change, pause, or end the referral program at any time. You are responsible for any tax obligations on referral rewards you receive.

Optional mentorship sessions

Optional mentorship sessions, if offered, are separate from the base community subscription unless expressly stated at checkout. Mentorship availability, scheduling, pricing, rescheduling, cancellation, and refund rules may be shown at booking or communicated separately. Mentorship is for general education only and is not personalized financial, investment, tax, legal, or trading advice. Booking a mentorship session does not create an adviser, fiduciary, broker, or portfolio management relationship.

Community content, moderation, and reporting

You retain ownership of content you post, but grant YBI a worldwide, non-exclusive license to host, display, and distribute it within the service.

You are responsible for the content you post, upload, send, or otherwise make available through the platform, including messages, direct messages, replies, reactions, images, voice notes, videos, profile information, trade journal entries, watchlists, quiz activity, referral activity, and support messages.

You must not post, upload, send, or promote content that is unlawful, abusive, harassing, hateful, threatening, defamatory, misleading, fraudulent, infringing, sexually exploitative, malicious, spam, malware, market manipulation, guaranteed-return claims, unauthorized promotions, or content that violates these Terms or harms the community. Do not share login credentials or attempt to hack or disrupt the service.

YBI administrators, support staff, and authorized personnel may access, review, moderate, remove, preserve, or restrict access to community messages, direct messages, support conversations, files, metadata, and account activity where reasonably necessary for moderation, safety, support, fraud prevention, legal compliance, platform operations, or enforcement of these Terms. Communications on the platform are not private from YBI staff.

We may mute, suspend, restrict, or terminate accounts; remove or hide content; lock or unlock channels; pin or unpin content; limit posting; or take other moderation actions. Some channels or messages may be automatically deleted, archived, hidden, or permanently removed according to channel settings, moderation settings, or operational rules.

Intellectual property

Platform materials, branding, courses, and resources are owned by YBI or licensors and protected by copyright and other laws. You may not copy, redistribute, or commercially exploit content without written permission.

Account suspension

We may mute, suspend, or terminate accounts that violate these Terms or harm the community. Serious or repeated violations may result in permanent ban without refund. Appeals may be submitted to info@youngbullinvestors.com.

Third-party services and links

The platform may link to third-party sites (including brokerage resources, Stripe checkout, or mentorship booking).

The platform may rely on third-party services, including Stripe for payments and bookings, Supabase for authentication, database, storage, realtime functionality, and backend services, Resend for transactional emails, OneSignal or browser push services for notifications, Mixpanel for analytics, Vercel for hosting, and Yahoo Finance or similar providers for market data. Your use of those services may also be subject to their own terms, policies, limits, and availability. YBI is not responsible for third-party outages, errors, delays, policies, or services.

Disclaimer of warranties

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, YBI and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, or lost data arising from your use of the platform. Our total liability for any claim relating to the service shall not exceed the amount you paid YBI in the twelve months before the claim.

Indemnity

You agree to indemnify and hold YBI harmless from claims arising out of your use of the platform, your content, your trading activities, or your violation of these Terms or applicable law.

Changes to these Terms

We may update these Terms. We will post the revised Terms on the platform and update the “Last updated” date. Material changes to paid subscriptions may be communicated by email or in-app notice where required. Continued use after changes take effect constitutes acceptance.

Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Alberta, Canada, except where consumer protection law in your jurisdiction requires otherwise.
